We amend these Terms & Conditions from time to time. Every time You wish to order Goods, please check these Terms & Conditions to ensure You understand the terms which will apply at that time.

These Terms & Conditions, and any Contract between Us, are only in the English language.

2. Definitions

In these Terms & Conditions:

  • Carrier means any person or business contracted by Us to carry Goods from Us to You, whether all or part of the distance.
  • Consumer means any natural person acting for purposes outside their trade, business, craft or profession.
  • Content means any material in any form published on Our Website by Us or any third party with Our consent.
  • Goods means any products We offer for sale on Our Website.
  • Material means any content posted by You on Our Website (where functionality exists).
  • Our Website means the website and all computing hardware and software installation that is or supports it.
  • Order Confirmation means our email confirming acceptance and dispatch of your order.
  • We/Us/Our means Newby Teas (UK) Limited.
  • You/Your means a visitor to Our Website and/or Our Customer.

These Terms & Conditions apply (so far as the context allows) to You as a visitor to Our Website and, in any event, to You as a buyer or prospective buyer of Goods.

We accept Your order by sending You an Order Confirmation. That is when the Contract is formed.

3.3 Availability

We cannot guarantee that Goods advertised on Our Website are always available. If We cannot supply an item, We will inform You by email and will not process that part of Your order. If You have already paid, We will refund the relevant amount (including any delivery charges paid for undelivered Goods, where applicable) as soon as possible.

We may change these Terms & Conditions from time to time. The version that applies to You is the version posted on Our Website on the day You place Your order.

If we need to revise these Terms & Conditions after You have placed an order in a way that affects Your Contract, we will give You reasonable advance notice and explain how You may cancel if you do not accept the change. Where cancellation applies, we will arrange a refund in accordance with your legal rights.

8. Price and Payment

All prices are shown in GBP (£) and include UK VAT where applicable.

We take care to keep prices accurate, however pricing errors may occasionally occur. If we discover an error in the price of Goods You have ordered, we will contact You as soon as possible and give You the option to:

  • reconfirm your order at the correct price; or
  • cancel your order for a full refund.

Payment must be made in full at checkout using the payment methods available on Our Website.

If Your delivery address is outside the UK, local import duties and taxes may apply (see clause 11).

9. Dispatch and Delivery (UK)

We aim to dispatch orders within 2 working days of receiving payment (subject to availability). Once dispatched, we will send you an email with tracking details where available.

UK deliveries are typically made via a tracked courier service. Delivery times are estimates and may vary due to factors beyond our control.

You must ensure someone is available to accept delivery where a signature is required.

9.1 Risk and title

Goods are at our risk until they are delivered to the address You provide. Ownership of Goods passes to You once we have received payment in full.

9.2 Lost parcels

We typically allow 10 working days from dispatch before treating a parcel as potentially lost in transit. If your order has not arrived after this period, please contact us at customercare@newbyteas.com and we will investigate with the Carrier.

10. International Delivery and Customs

If you order Goods for delivery outside the UK, you are responsible for ensuring compliance with the laws of the importing country.

You may be required to pay customs duties, import taxes, and handling fees imposed by the destination country. These charges are not included in product or delivery prices and are payable by You.

11. Cancellation Rights (Consumers)

If You are a Consumer, you have legal rights to cancel your Contract under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

You may cancel your order within 14 days, beginning the day after You (or a person nominated by You) receive the Goods.

To cancel, You must notify us in writing (email is acceptable) at support@newbyteas.com.

11.1 Returns following cancellation

If you cancel after receiving Goods, you must return them to us within 14 days of telling us you wish to cancel. Unless the Goods are faulty or we made an error, You are responsible for return delivery costs.

We will refund the price of the Goods and standard outbound delivery charges (if applicable) within 14 days of receiving the returned Goods (or evidence you have sent them back).

11.2 Exceptions

Cancellation rights may not apply to:

  • Goods liable to deteriorate or expire rapidly;
  • Sealed Goods (including certain food products) where unsealed after delivery for health protection or hygiene reasons;
  • Goods made to your specifications or clearly personalised.

This does not affect your statutory rights in relation to faulty Goods.

12. Faulty, Damaged or Incorrect Goods

Nothing in these Terms limits your legal rights under the Consumer Rights Act 2015.

If Goods are faulty, damaged, or incorrect, please contact us as soon as possible (and ideally within 30 days of delivery) at support@newbyteas.com with your order details and photographs where relevant.

Where Goods are confirmed to be faulty/damaged/incorrect, we will offer an appropriate remedy which may include replacement, repair (where applicable), or refund, in line with your statutory rights. We will cover reasonable return costs in these circumstances.

13. Website Use, Content and Intellectual Property

All Content on Our Website (including text, images, graphics, logos, designs, and software) is owned by or licensed to Us and is protected by intellectual property laws.

You may view, download and print pages for your personal use only. You must not copy, reproduce, publish, sell, or exploit any part of Our Website or Content for commercial purposes without Our prior written consent.

We may make improvements or changes to Our Website, the Content, or Goods at any time.

16. Events Outside Our Control

We will not be liable for any failure to perform, or delay in performance, of any of our obligations caused by events beyond our reasonable control (including industrial action, fire, flood, storm, epidemic/pandemic, transport disruption, or failure of telecommunications networks).

If such an event affects delivery, we will contact you and arrange a revised delivery date where possible. If the delay continues for more than 30 days, You may cancel the affected Contract and receive a refund (including delivery charges) for undelivered Goods.

17. Limitation of Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

Subject to the above, we will not be liable for indirect or consequential losses. Our total liability in respect of losses arising under or in connection with the Contract shall be limited to the value of the Goods purchased by You under that Contract.

18. Indemnity

You agree to indemnify Us against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of Our Website or infringement of any rights of a third party.

19. Miscellaneous

  • We may communicate with you by email. You agree that email communications satisfy legal requirements for written communication.
  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force.
  • We may transfer our rights and obligations under a Contract to another organisation. This will not affect your rights. We will notify you by posting on this webpage.
  • No person other than You and Us shall have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.

20. Governing Law and Jurisdiction

These Terms & Conditions are governed by the laws of England and Wales. Any dispute or claim arising out of or in connection with these Terms or any Contract shall be subject to the jurisdiction of the courts of England and Wales.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.
